Align Now Inc. (hereinafter referred to as “Align Now”), a company with offices located in both the Province of Ontario and the State of Delaware, operates and manages the website align- now.com (hereinafter referred to as the “Website”) and its corresponding applications, including web and mobile applications (hereinafter collectively referred to as the “Mobile Application”). The Website and the Application are collectively referred to as the “Platform”.
Users of the Platform shall be required to comply with these Terms and Conditions, in full. Prior to using the Platform, Users shall acknowledge and agree to the present Terms and Conditions, in their entirety. If any User does not accept to be bound by these Terms and Conditions, the User’s sole recourse shall be to not use the Platform.
The following terms, when used in these Terms and Conditions shall have the meanings set forth below, unless the context requires otherwise:
“Dispute” shall refer to any claim, dispute or other conflict between Align Now and a User arising out of or relating to these Terms and Conditions.
“Terms and Conditions” shall refer to these Terms and Conditions and all amendments and updates made thereto. For reference purposes, the published Terms and Conditions shall indicate the date of the latest update made thereto.
“Third Party Sites” shall refer to any links to third-party platforms, websites and/or applications provided on the Platform.
“Users” shall refer to all individuals who access, download or use the Platform, while “User” shall refer to any single individual engaging with the Platform
The present Terms and Conditions shall govern Users’ usage of the Platform, and apply to all Users who access, download, browse and/or otherwise use the Platform.
By using the Platform or engaging with the Platform in any way, Users agree to be bound by these Terms and Conditions as though Users manually signed these Terms and Conditions.
These Terms and Conditions form a binding agreement between the User and Align Now. Align Now shall not be bound by any terms or policies, except for the present Terms and Conditions and any policies referenced herein. These Terms and Conditions shall encompass any other policies established by Align Now, such as the Platform’s Privacy Policy.
To be eligible to use the Platform, every User hereby represents and warrants to Align Now as follows:
(i)The User is at least eighteen (18) years old.
(ii)The User resides in Canada or the United States.
(iii)The User shall use the Platform in accordance with all applicable laws, orders and regulations.
(iv)The User is not subject to any restrictions, limitations, suspensions, judgments or orders that would prevent the User from using the Platform.
Upon downloading the Mobile Application, Users shall create a user account (each, a “User Account”). Each User shall create a User Account by providing the following information: The User’s full name, age, phone number (for verification purposes), email address, and location (which may be hidden from public view). Each User Account shall be protected and secured by a password. The User is required to add at least one (1) profile picture to the User Account.
Each User’s email address and password shall remain confidential and personal to the User.
Each User shall be responsible for maintaining the confidentiality of their login credentials, which are strictly personal and non-transferable. If any security breach were to occur or in case of a compromised password, the User shall promptly notify Align Now by email or on the Platform.
Personal data submitted as part of a User Account shall be handled according to Align Now’s Privacy Policy. All personal data provided by a User shall be true, complete and current to the best of the User’s knowledge. Each User shall update any personal data that becomes outdated, expired or incorrect.
Each User may only access and use its own User Account on the Platform. Any usage or access of another User Account on the Platform is strictly prohibited and may give rise to sanctions. As such, Align Now may terminate the offending User’s Account on the Platform.
Users shall create a public profile on the Platform. Using their public profiles on the Platform, Users may browse potential matches, and swipe left or right to express interest, and enter into discussions with matched users. Users shall choose the information and images they wish to upload to their public profiles, acknowledging and accepting that all such content shall be publicly visible on the Platform.
Users shall provide the following information as part of their public profiles on the Platform: name, age, city and a short description of the User, relationship sought or relevant information for dating and matching purposes.
A User may close or otherwise terminate its User Account at any time by following the instructions on the Platform. Align Now reserves the right to terminate or suspend a User’s User Account on the Platform if the User has breached these Terms and Conditions.
Users agree that if Align Now terminates a User’s User Account on the Platform, the User shall waive any recourses or claims they may have or had against Align Now.
Align Now further reserves the right to investigate any potential violations of these Terms and Conditions, applicable laws and regulations.
Ongoing provisions of these Terms and Conditions, including provisions relating to intellectual property, disclaimers and liability, shall remain applicable to Users, even after the termination of their User Accounts.
Users may post content on the Platform. Users agree to post content that is relevant, appropriate, current and thorough. The following may not be published or posted on the Platform: (i) content that is violent in nature, (ii) content that infringes applicable laws and regulations, (iii) content that is unlawful, illegal, unethical or defamatory, (iv) content advocating violence, murder, terrorism, itwork or intellectual property and (v) content that is explicitly sexual.
Users may also share their public profiles on social media, as well as post content from their social media accounts to their public profiles.
Users acknowledge that any communications and interactions held on the Internet are never fully secure. Users recognize that there are certain risks associated with communicating and interacting with other Users on an Internet-dependent platform, such as the Platform.
The Platform contains a messaging system, whereby Users who were matched on the Platform may interact. Matched Users may engage and can initiate exchanges. All interactions between Users on the Platform shall be respectful, and compliant with applicable laws and these Terms and Conditions. Align Now may access communications between Users to verify that such communications comply with these Terms and Conditions.
Any interactions and communications between Users shall be held privately and shall not be published on the Platform. The content of such exchanges shall be personal between the corresponding Users. Align Now is simply providing the platform upon which Users may engage in interactions and private chats. Align Now declines all responsibility and liability for all exchanges and messages exchanged between Users both on and off the Platform.
Any User who engages in illicit or prohibited conduct, such as sending threatening or unsolicited messages or impersonating another User, may be held liable for such conduct, and the User shall further be responsible for claims arising out of the User’s conduct.
In case of a dispute between Users, Align Now encourages the Users to attempt to resolve the dispute amicably. At Align Now’s discretion, Align Now may, but is under no obligation to attempt to help the Users reach a settlement of the dispute. If Align Now chooses to intervene, Align Now does not guarantee that it shall resolve the dispute between Users. Further, Align Now provides no guarantees or warranties as to the outcome of its intervention, if applicable, and the resolution of the dispute. As a result, Users agree to fully release and discharge Align Now from claims, losses, liabilities and causes of action of every nature, that the Users have, may have or had against Align Now arising out of the dispute.
At this time, the Platform is accessible and available at no charge to Users. Users may create accounts, browse profiles, match, and communicate without any cost. However, Align Now reserves the right to introduce paid subscription plans in the future. Should any services or content be subject to a fee, Users shall be notified in advance.
All future subscription terms, including billing, cancellation and refund policies shall be specified in these Terms and Conditions upon their introduction.
Users shall comply with these Terms and Conditions, as well as all applicable laws, regulations and policies when using the Platform. Users therefore agree not to use the Platform to:
Violate or breach any law, government order, regulation or policy;
Damage, hack, or otherwise use the Platform in a harmful manner;
Transmit viruses, corrupt files or damaging information;
Transmit spam, advertisements or unsolicited material;
Engage in illegal, unethical, fraudulent, malicious or abusive conduct, or encourage others to use the Platform for such purposes;
Post or publish known erroneous, false, obscene, harmful or illicit statements or content;
Impersonate an individual, or company, or intentionally mislead others about the User’s real identity;
Collect personal data from Users of the Platform, without obtaining the Users’ prior approval and consent;
Decompile or hack any part of the Platform or attempt to decompile or hack the Platform or any part thereof;
Cyberstalk, exploit, threaten, bully or otherwise harass Users;
Use the Platform for commercial, promotional or solicitation purposes, except with Align Now’s prior written consent;
Use the Platform to circumvent or bypass any moderation or security features;
·Act in a manner that conflicts with the intent of these Terms and Conditions.
Align Now does not tolerate any form of harassment by or against any of its Users. Users may be held personally responsible for their failure to comply with these obligations.
Align Now complies with all applicable copyright laws, including the Digital Millennium Copyright Act (“DMCA”). In accordance with the terms of the DMCA, Align Now encourages Users to report any actual or perceived copyright infringement on the Platform to Align Now’s attention. Any reports of copyright violations shall be handled according to the requirements of the DMCA.
If a User believes a trademark or intellectual property belonging to such User or to a third party has been published on the Platform in violation of a copyright law, the User shall send a written notice that complies with the DMCA’s requirements to Align Now.
If Align Now finds the notice to be well-founded, Align Now shall promptly remove the intellectual property or trademark subject to the notice from the Platform.
If any User infringes the DMCA, Align Now may suspend or terminate the User’s Account on the Platform, without liability or notice to the User.
Users acknowledge that Third Party Sites linked on the Platform are separate entities from Align Now, and are for reference purposes only.
Align Now is not affiliated with the Third Party Sites. The inclusion of links to Third Party Sites on the Platform shall not imply Align Now’s endorsement of such Third Party Sites.
Users’ usage of the Third Party Sites shall be at their sole risk. Align Now shall not be a party to any litigation, dispute or claim arising out of a link to a Third Party Site.
Force Majeure events are unforeseeable, uncontrollable and irresistible events, such as government orders, epidemics, pandemics, labor strikes, wars, acts of God, tornados, hurricanes and other natural disasters. Align Now shall not be responsible for failing to perform its obligations due to a Force Majeure event. Align Now’s obligations under these Terms and Conditions shall be suspended during a Force Majeure event until it is fully resolved.
If the Force Majeure event extends beyond thirty (30) days, Align Now may terminate the Platform or cease performing its obligations, without compensation or liability to Users.
The Platform shall be provided and offered on an “as is” and “as available” basis, without warranties or guarantees of any kind. Moreover, Align Now is unable to guarantee that the Platform shall be provided without interruption, error or omission.
Users acknowledge that technical issues may cause the Platform to freeze, delay, crash or negatively impact the device used to access the Platform. Align Now shall not be responsible for any technical issues caused by the device used to access the Platform. Moreover, Align Now is unable to guarantee that any technical issues shall be promptly remedied or even remedied at all.
Align Now has since implemented processes and protocols to ensure the continuity of the Platform, but declines liability if it is interrupted, blocked or otherwise not continuous.
Align Now shall not be liable for indirect, incidental, punitive, special or consequential damages, losses, fines, claims or damages of any kind in connection with the Platform. Align Now shall not be liable for any negative consequences or adverse effects resulting from the misuse of the Platform, or unauthorized access thereto.
Align Now cannot guarantee that matches or the lack thereof on the Platform shall produce any particular result with respect to Users’ needs or expectations. Due to circumstances outside Align Now’s control, Align Now is unable to provide any guarantees as the outcome of the use of the Platform, Users’ compatibility with matches made on the Platform, User conduct both on and off the Platform and the success of a relationship between Users.
Align Now’s role is strictly that of an intermediary, providing a Platform to facilitate connections, matches, and communications between Users seeking relationships. The Platform allows Users to view profiles, express mutual interest, and interact through messaging and video chat once a match is established. Unless otherwise specified, Align Now does not monitor the content of User interactions or the nature of relationships that may result.
Given Align Now’s role as an intermediary, Align Now shall not be liable for any disputes, misunderstandings, offensive behavior, emotional distress, or other issues that may arise between Users during or after their interactions on and off the Platform. Align Now further declines liability for the accuracy, truthfulness or completeness of any information shared by Users, as well as any opinions and comments exchanged via the Platform. All views and communications expressed by Users are their own and do not reflect those of Align Now.
Despite that Align Now may, at its discretion, implement measures to verify User Accounts and profiles, it does not guarantee the identity, intentions, or conduct of any User. By using the Platform, each User acknowledges and agrees that they engage with other Users at their own risk and that Align Now shall not be held liable for any interaction, communication, or relationship formed through the Platform.
Align Now may update these Terms and Conditions at any time, at its discretion. The most recent version of these Terms and Conditions shall be published on the Platform, specifying the date of the latest update.
Any use of the Platform by Users following the publication of the updated Terms and Conditions shall constitute Users’ agreement to be subject to the updated Terms and Conditions.
These Terms and Conditions shall be governed by the laws in force in the Province of Ontario (for Users based in Canada), and by the laws of the State of Delaware (for Users based in the United States), without regard to any conflict of law principles
Any Disputes shall be submitted to the competent courts located in the Province of Ontario (Canada) or the State of Delaware (United States), as applicable, and each User irrevocably agrees to the exclusive jurisdiction of such courts.
Prior to undertaking any legal proceedings, Users shall make reasonable efforts to resolve Disputes amicably.
All Users waive their right to a jury trial in any litigation commenced in connection with these Terms and Conditions. Any claims shall be brought in the User’s individual capacity, and not as part of a class action or another party’s claim.
